Definitions
(a) Any reference to “LMM” will mean Live Management Ltd (the company) and the LMM Website Domain - lmmuk.co.uk
(b) Any reference to the Platform shall mean the booking and marketing platform known as Actxis. Domain - actxis.com
(c) Content means any information and materials of an act or acts that you provide to the Platform, and it includes your Assets including videos, recorded audio, live recordings, graphics, links, photos, texts, and logos), to be included for your Public Profile Page.
(d) User refers to any person who accesses or uses the Website or Platform.
(e) Booking refers to a reservation made by a User for a service or product listed on the Website or platform.
(f) A supplier is an act or performer that has been booked or promoted through the website or platform.
(g) An act is a performer that has a profile on the website and or the platform and is or has been booked onto, or booked through the booking platform.
1. Account Creation and Use
1.1. Eligibility: You must be at least 18 years of age or have the consent of a legal guardian to use the Platform.
1.2. Registration: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
1.3. Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach.
1.4. Act Profile: You agree to set up your act profile on the platform and will upload all required information including a minimum of 3 quality photos including a profile photo, short bio description of the act and add all social media accounts linked to your act profile page.
2. User Content and Conduct
2.1. User Content: You retain all ownership rights to the content you submit to the Platform ("User Content"). By uploading User Content, you grant the Platform Provider a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your User Content for the purpose of providing the Platform's services.
2.2. Prohibited Conduct: You agree not to:
• Violate any applicable laws or regulations.
• Use the Platform for any illegal or unauthorized purpose.
• Infringe upon the rights of others.
• Transmit any viruses, worms, or malicious code.
• Engage in any activity that disrupts, interferes with, or harms the Platform.
3. Booking and Transactions
3.1. Booking Agreements: Users engaging in bookings on the Platform agree to adhere to the terms and conditions set forth in the booking agreements at time of booking.
3.2 Our Services: To book, promote, share all content and, or assist to book content through the platform to all venues and to the public.
3.3. Marketing: To manage and help facilitate the promotion of any, all bookings using the “Actxis Meta App” which is designed to post marketing content from websites and platforms that authorise it to do so.
3.3. Fees: Platform Provider may charge fees for certain services, which, if applicable will be clearly communicated beforehand. By using these services, you agree to pay the specified fees if required.
4. Intellectual Property
4.1. Ownership: All content and materials available on the Platform, including but not limited to text, graphics, logos, and software, are the property of Platform Provider or its licensors and are protected by intellectual property laws.
4.2. License: Subject to your compliance with this Agreement, Platform Provider grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal and non-commercial use.
5. Privacy
5.1. Privacy Policy: Platform Provider
's Privacy Policy is incorporated by reference into this Agreement and governs the collection, use, and sharing of your personal information.
6. Termination
6.1. Termination by User: You may terminate your account at any time, unless you are within a contracted period by emailing info@lmmuk.com
6.2. Termination by Platform Provider: Platform Provider reserves the right to suspend or terminate your access to the Platform, with or without cause, at any time and without notice.
7. Disclaimer of Warranties
7.1. The Platform is provided on an "as is" and "as available" basis. Platform Provider makes no warranties, expressed or implied, regarding the Platform's accuracy, availability, or fitness for a particular purpose.
8. Limitation of Liability
8.1. Platform Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.
8.2. In regard to any payment made by LMM to or received by the supplier, you, the supplier have read and agreed to the terms of our privacy policy and are agreeing that the relationship between Live Music Management Ltd and the supplier will be that of "independent contractor" which means that you, the supplier are not an employee, worker, agent or partner of Live Music Management Ltd.
8.3. In regard to Legal requirements, you warrant that you hold a current UK Passport, or you have a current working visa which allows you to work within the UK in compliance with the HMRC and other legal requirements.
8.4. In regard to taxation requirements, as this is not an employment contract you will be fully responsible for any tax and legal requirements set out by the HMRC or any other government or regulatory body including paying all your own tax and any national insurance contributions arising from carrying out the services.
9. Limitations:
In no event shall LMM or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on LMM's Website or platform, even if LMM or a LMM authorized representative has been notified orally or in writing of the possibility of such damage.
10. Revisions and Errata:
The materials appearing on LMM's Website or Platform could include technical, typographical, or photographic errors. LMM does not warrant that any of the materials on its website or platform are accurate, complete, or current.
11. Links:
LMM has not reviewed all of the si
tes linked to its website or Platform and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by LMM of the site. Use of any such linked website is at the user's own risk.
12. General Provisions
12.1. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
12.2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
12.3. Amendments: Platform Provider reserves the right to modify this Agreement at any time. Updated versions will be posted on the Platform.
By using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and Terms.
